4. Our Role and Marketplace Structure
NinjaLicense provides tooling and infrastructure for Vendors and Buyers. Vendors control their products, pricing, licensing rules, and customer support unless otherwise stated. We are not a party to the underlying agreement between Vendors and Buyers, and we do not guarantee or endorse Vendor content. Vendors are responsible for ensuring their offerings comply with applicable laws and third-party platform policies.
5. Vendor Obligations
- You represent that you have all rights necessary to sell and license your products.
- You will provide accurate product descriptions, pricing, and terms, and will not mislead buyers.
- You will comply with Stripe Connect requirements and provide required tax or identity information.
- You will handle customer support, refund decisions, and product updates for your products.
6. Buyer Obligations
- You will use purchased products only as permitted by the Vendor's license terms.
- You will not share, resell, sublicense, or distribute products unless expressly allowed.
- You are responsible for your own systems, hardware, and network security.
7. Payments, Billing, and Fees
- Payments are processed by Stripe. You agree to Stripe's terms and authorize us to charge your payment method.
- Subscriptions renew automatically until canceled. You can cancel via your account or Stripe-managed billing.
- Prices, taxes, and fees may change. We will provide notice where required by law.
- Chargebacks or payment reversals may result in license suspension and collection of related fees.
- Vendors are responsible for their own taxes, filings, and compliance obligations.
8. Refunds, Cancellations, and Disputes
- Refunds are governed by the Vendor's policy unless otherwise required by law.
- We may reverse, suspend, or withhold payouts in cases of fraud, disputes, or legal compliance.
- Subscription cancellations stop future renewals; previously billed periods are typically non-refundable unless required by law or stated by the Vendor.
9. Licenses and Usage Restrictions
- Licenses may be device-locked, time-limited, or otherwise limited as configured by the Vendor.
- Attempts to bypass licensing, security controls, or access restrictions are prohibited.
- We may suspend or revoke licenses for fraud, abuse, non-payment, or policy violations.
10. Intellectual Property
- We own the Service and its underlying software, designs, and trademarks.
- Vendors retain ownership of their products and grant Buyers a limited license under their terms.
- Nothing in these Terms grants you ownership of any intellectual property beyond the limited rights granted.
11. User Content, Feedback, and Copyright
- You grant us a non-exclusive, worldwide license to host, store, display, and process your Content solely to operate the Service.
- You are responsible for your Content and represent you have the rights to share it.
- Feedback you provide may be used without restriction or compensation.

12. Acceptable Use and Community Standards
- No unlawful, harmful, deceptive, or abusive activity.

13. Trading and Financial Disclaimers

16. Availability, Changes, and Beta Features
- We strive for reliable service but do not guarantee uninterrupted or error-free operation.

You agree to submit to the exclusive jurisdiction of the state and federal courts located in California for disputes not otherwise required to be handled in small-claims court or other mandatory forums.

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, internet failures, labor disputes, or governmental actions.

27. Miscellaneous
